Nova CRM Terms of Service (International)
Terms of using the Nova CRM platform for customers outside Russia and Kazakhstan.
1. Definitions
Provider — [OPEN — legal entity, registration data, and address pending OA-002] (the "Provider"). Customer — the person who registered a project in Nova CRM and uses the service for business or other professional activity (the "Customer"). Service — the Nova CRM SaaS platform: receiving and handling the Customer's client conversations via messengers and web chat, CRM, analytics, and related features.
2. Agreement
These Terms form a binding agreement between the Provider and the Customer. The agreement is concluded when the Customer registers an account or pays for a plan, whichever happens first. The subject of the agreement is access to the Service within the selected plan.
3. Account and access
The Customer is responsible for the accuracy of registration data and for safeguarding account credentials. Actions performed in the Customer's account are deemed the Customer's actions until the Provider is notified that control over the account has been lost.
4. Plans, payment, renewal
The current plan catalog, its contents, and prices are published on the website separately from these Terms. A change to a plan's contents or price is always a new plan version; active subscribers keep their version's terms until they upgrade themselves.
- Payment is prepaid from the Customer's wallet; funds are debited when a
service is activated or renewed.
- Prices are stated exclusive of taxes that may apply under the law of
the Customer's jurisdiction; applicable taxes depend on the Provider's tax status [OPEN — confirm the tax regime under OA-002].
- Auto-renewal uses a previously saved payment method unless disabled by
the Customer. On insufficient funds access degrades through the sending-restricted, grace, and suspended statuses; nothing is switched off without the status being shown to the Customer first.
- The trial period is 7 days with protective quotas and never converts
into a paid plan without the Customer's action.
5. Refunds and cancellation
The unused remainder of a paid period is refunded as wallet credit unless mandatory consumer protection rules of the Customer's jurisdiction require otherwise. A subscription with renewal switched off remains active until the end of the paid period.
6. Acceptable use
The Customer must not use the Service for spam, unlawful content, or infringement of third-party rights, and must comply with the rules of the connected channels (Telegram, VK, WhatsApp, and others). The Provider may suspend access upon a material violation, notifying the Customer through the dashboard.
7. Data protection
Personal data processing is governed by the Privacy Policy (International), an integral part of these Terms. For the data of the Customer's clients the Customer acts as the data controller and the Provider as a processor acting on the Customer's documented instructions; the Customer warrants that it has a lawful basis for the collection and processing of that data.
The Service's primary database is hosted in the Russian Federation. By accepting these Terms and connecting channels the Customer consents to the international transfer of data to the extent necessary for the Service to work, and is responsible for confirming that such transfer is permissible for the Customer under the law applicable to it.
8. Intellectual property
All rights to the Service remain with the Provider; the Customer receives a non-exclusive licence to use the Service within the paid plan. Data entered by the Customer (contacts, conversations, CRM records) remains the Customer's.
9. Availability and support
The Provider takes reasonable measures to keep the Service running but does not guarantee uninterrupted operation affected by maintenance, channel providers, or circumstances beyond the Provider's control. The Service is provided "as is" without warranties beyond those that cannot be excluded by applicable law. Support is available from the dashboard.
10. Liability
To the maximum extent permitted by applicable law, the Provider is not liable for the content of the Customer's conversations with its clients, for the actions of channel providers, or for indirect, incidental, or consequential losses. The Provider's aggregate liability is limited to the amount paid for the last billing period.
11. Term and termination
The agreement is effective from acceptance until the Customer stops using the Service. The Customer may stop at any time; project data is retained and deleted within the periods stated in the Privacy Policy. The Provider may terminate the agreement for a material violation of section 6 with notice through the dashboard.
12. Changes to the Terms
Changes are published on the website with a new effective date; material changes are additionally announced in the dashboard at least 14 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the new version.
13. Governing law and disputes
These Terms are governed by the law of the Provider's country of registration [OPEN — depends on the legal entity, OA-002], without prejudice to mandatory consumer protections of the Customer's place of residence where they apply. Disputes go through a 30-day claim procedure first, then to the competent court at the Provider's seat.
14. Provider details
[OPEN — completed after the legal entity is finalized under OA-002]
