Nova CRM Public Offer (Terms of Service)
Terms of use for the Nova CRM SaaS platform: pricing, payment, refunds, liability, and data processing.
1. Definitions
Provider — [OPEN — legal entity/sole proprietor, OGRN/OGRNIP, INN, registered address; pending confirmation under OA-002] (the "Provider"). Customer — the person who registered a project in Nova CRM and uses the service for business or other professional activity (the "Customer"). Service — the Nova CRM SaaS platform: receiving and handling the Customer's client conversations via messengers and web chat, CRM, analytics, and related features.
2. Subject and conclusion of the contract
This document is a public offer within the meaning of Article 437(2) of the Civil Code of the Russian Federation. The contract is concluded by acceptance — registering an account and/or paying for a plan (Article 438(3) of the Civil Code). The subject of the contract is access to the Service within the selected plan.
3. Account and access
The Customer is responsible for the accuracy of registration data and for safeguarding account credentials. Actions performed in the Customer's account are deemed the Customer's actions until the Provider is notified that control over the account has been lost.
4. Plans, payment, renewal
The current plan catalog, its contents, and prices are published on the website separately from this offer. A change to a plan's contents or price is always a new immutable plan version; active subscribers keep their version's terms until they upgrade themselves.
- Payment is prepaid from the Customer's wallet; funds are debited when a
service is activated or renewed.
- Prices exclude VAT (the simplified tax system applies) [OPEN — confirm
the selected legal entity's tax regime under OA-002].
- Auto-renewal and auto-payment use a previously saved payment method
unless disabled by the Customer. On insufficient funds access degrades through the sending-restricted (data available, sending and new connections blocked), grace, and suspended statuses; nothing is switched off without the status being shown to the Customer first.
- The trial period is 7 days of the "Pro" plan functionality with
protective quotas and never converts into a paid plan without the Customer's action.
5. Refunds and cancellation
The unused remainder of a paid period is refunded as wallet credit, not as money; no exceptions beyond mandatory consumer-protection rules of applicable law. A subscription with renewal switched off remains active until the end of the paid period.
6. Acceptable use
The Customer must not use the Service for spam, unlawful content, or infringement of third-party rights, and must comply with the rules of the connected channels (Telegram, VK, WhatsApp, and others). The Provider may suspend access upon a material violation, notifying the Customer through the dashboard.
7. Personal data
Personal data processing is governed by the Privacy Policy, an integral part of this offer. The Provider processes the data of the Customer's clients on the Customer's instructions (Article 6(3) of Federal Law No. 152-FZ of 27 July 2006); the lawfulness of collecting that data and obtaining the necessary consents is ensured by the Customer as the operator of its clients' data.
For certain channels that operate through client sessions rather than official APIs, message intake and routing technically pass through infrastructure nodes outside the Russian Federation. A Customer connecting such a channel consents to the cross-border transfer of its clients' data to the extent necessary for the channel to work.
8. Intellectual property
All rights to the Service remain with the Provider; the Customer receives a non-exclusive licence to use the Service within the paid plan. Data entered by the Customer (contacts, conversations, CRM records) remains the Customer's.
9. Availability and support
The Provider takes reasonable measures to keep the Service running but does not guarantee uninterrupted operation affected by maintenance, channel providers, or circumstances beyond the Provider's control. Support is available from the dashboard.
10. Liability
The Provider is not liable for the content of the Customer's conversations with its clients, for the actions of channel providers beyond the Provider's control, or for indirect losses. The Provider's aggregate liability is limited to the amount paid for the last billing period unless mandatory rules of law provide otherwise.
11. Term and termination
The contract is effective from acceptance until the Customer stops using the Service. The Customer may stop at any time; project data is retained and deleted within the periods stated in the Privacy Policy. The Provider may repudiate the contract for a material violation of section 6, notifying the Customer through the dashboard.
12. Changes to the terms
Changes to this offer are published on the website with a new effective date; material changes are additionally announced in the dashboard at least 14 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the new version.
13. Governing law and disputes
The contract is governed by the law of the Russian Federation. Disputes go through a 30-day claim procedure first, then to the competent court at the Provider's seat unless mandatory jurisdiction rules provide otherwise.
